Terms and Conditions
These Terms and Conditions set out the general terms on which organisations and authorised users may access and use the platform. They should be reviewed alongside any order form, subscription terms, data-processing agreement or other contract agreed with us.
1. About these terms
By creating an account, subscribing to the service or using the platform, the subscribing organisation agrees to these terms. Where a separate written agreement conflicts with these terms, the separately agreed written terms take precedence to the extent of that conflict.
2. Eligibility and account responsibility
The organisation is responsible for ensuring that its users are authorised, that account information is accurate, and that login credentials are kept secure. User accounts must not be shared except where the platform expressly supports an authorised shared role.
3. Permitted use
The service may be used for lawful care-management and related administrative purposes. Users must not attempt to gain unauthorised access, interfere with the service, upload malicious material, misuse personal data or use the platform in a manner that violates applicable law or third-party rights.
4. Customer responsibilities for care delivery
The platform supports operational management but does not replace professional judgement, statutory duties, clinical decision-making, safeguarding responsibilities or the organisation’s own policies. The subscribing organisation remains responsible for the care services it provides and for the accuracy and appropriateness of records entered by its users.
5. Subscription, fees and payment
Paid access is provided according to the selected plan and billing cycle. Fees, taxes, billing dates and renewal arrangements are those shown during subscription or in the applicable order. Failure to pay may result in restricted or suspended access in accordance with the subscription status and applicable agreement.
6. Trials, cancellation and suspension
Where a trial is offered, its duration and limitations are stated at registration or in the applicable plan. Subscriptions may be cancelled in accordance with the billing arrangements. We may suspend access where reasonably necessary for security, non-payment, material breach, legal compliance or protection of the service and its users.
7. Data, privacy and confidentiality
Each party must handle confidential information appropriately. Personal-data processing is governed by the Privacy page and, where applicable, a data-processing agreement. The organisation is responsible for having an appropriate lawful basis and providing required notices for personal data it enters into the platform.
8. Availability, maintenance and changes
We aim to provide a reliable service but cannot guarantee uninterrupted availability. Maintenance, security work, third-party outages or circumstances outside reasonable control may affect access. We may update functionality to maintain security, compliance, usability or service quality.
9. Intellectual property
The platform software, design, documentation and associated intellectual property remain owned by us or our licensors. The subscribing organisation retains ownership of its own data, subject to the rights required for us to host, process, secure, back up and provide the service.
10. Liability
Nothing in these terms excludes liability that cannot lawfully be excluded. Subject to applicable law and any separately agreed contract, liability is limited to losses that are a reasonably foreseeable consequence of breach. The service is an operational tool and is not a substitute for professional care, clinical or legal advice.
11. Termination and data access
On termination, access may cease after any applicable notice or retention period. Organisations should export records they are required to retain. Data retention, deletion and return arrangements may be further defined in the applicable contract or data-processing terms.
12. Changes, governing law and contact
We may update these terms where reasonably necessary and will publish the current version on this page. The governing law and jurisdiction will be those stated in the subscribing organisation’s agreement, or otherwise the applicable law identified by the service provider.
